Professional Experience
- Advises high-net-worth clients and international families on succession planning, tax compliance, and asset protection across multiple jurisdictions.
- Designs and implements tax-efficient structures for domestic and foreign investment projects, including corporate restructurings and entity planning.
- Assists fiduciaries and individuals with trust formation, estate administration, and probate procedures in the U.S. and abroad.
- Represents clients in IRS matters, including voluntary disclosures and streamlined procedures.
- Represented professional athletes in the NHL, MLS, and MLB with tax and estate planning.
- Advised high-net-worth clients on the implementation of a domestic-compliant US$100 million Private Placement Life Insurance (PPLI) structure in coordination with an irrevocable trust for international tax efficiency and asset protection.
- Represented World Series of Poker (WSOP) in securing refund of IRS withholding on tournament winnings, including preparation of tax filings and coordination with IRS for treaty-based relief.
- Implemented comprehensive pre-immigration tax planning for a world-class international soccer star, including the establishment of a US$150 million intentionally defective grantor trust.
- Represented Florida bank in a change in control restructuring, involving several foreign jurisdictions, representing an amount over US$420 million.
- Represented Stanford International Bank Limited in claw-backs and asset recovery efforts in Latin America (claims worth approximately US$200 million).
- Represented an association of Guatemalan private power generators in the contract, terms of transmission, and financing with a subsidiary of the Empresa de Energía de Bogotá, for the construction of a 400 MW main power line for electricity transportation to the national grid. (Deal worth approximately US$60 million).
- Advised a US private equity fund in the acquisition of a Guatemalan company in the denim manufacturing business. (Approximately US$34 million).
- Advised the International Finance Corporation (IFC) in the release of a US$25 million collateral and additional guarantees issued by a Guatemalan corporate debtor in a borrowing with the IFC for the financing of a large power generation plant entered in in 2002.
- Advised a Guatemalan family in the tax planning and sale of a seafood family business to a U.S. investment fund for approximately US$100 million.
- Advised the Banco Centroamericano de Integración Económica (BCIE), as lead arranger, in the US$80 million syndicated loan of the first wind power generation plant in Guatemala.
- Conducted tax planning and restructuring of real estate investments in Guatemala worth over US$27 million, accumulated over a 40-year period by a UHNWI.
- Represented Guatemala’s second biggest provider of internet and cable, in the sale of assets to Guatemala’s largest cellular telephony services company, a company part of the (undisclosed amount).
- Counseled a Guatemalan UHNWI in the business succession and transfer of a family business worth over US$100 million in Central America to next generation successors.
- Advised with regard to the domestic implications of the offering of Toronto-listed energy company Pacific Rubiales Energy Corp. in connection with a US$300 million Rule 144A/Reg. S high-yield senior debt.
- Represented Guatemalan family in the final stage of the sale of its supermarket businesses to Wal-Mart de Mexico, S.A.B. de C.V. for approximately US$1 billion., including comprehensive U.S. tax and estate planning for U.S. family members.
- Counsel to Ghella S.p.A. Sucursal Venezuela before Venezuela’s Instituto Autónomo de Ferrocarriles del Estado in the procurement and development of Venezuela’s Central Railway System in a deal valued at approximately US$2.4 billion.
